Ignite Marketing Agency, LLC Terms of Service


  1. Authorization – The client is engaging Ignite Marketing Agency as an independent contractor for the specific project of developing and/or improving a World Wide Web site to be installed on the Ignite Marketing Agency server. The client hereby authorizes Ignite Marketing Agency to access this account, and authorizes the Internet Service Provider to provide Ignite Marketing Agency with “written permission” for the client’s web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project.
  2. Cost – The client and Ignite Marketing Agency agree that these services described shall be completed as described above.
  3. Website Design/Logo Design – 3 rounds of design edits, anything after that will be charged at an hourly rate of $100.00 per hour.
  4. New Client Questionnaire (NCQ) – Client agrees to get NCQ back within three days of signing contract so that we are able to meet the deadlines.
  5. E-Mail – Ignite Marketing Agency will work with you to convert your email over for a flat one-time fee of $125.00 which will cover up to 15 email conversions. Any number past that will be negotiated.
  6. Changes to Submitted Text – Time required to make substantive changes to the text which are requested after the web pages have been constructed and the site has gone live, will be billed at an hourly rate of $50.00 unless a written agreement is signed by both the client and Ignite Marketing Agency.
  7. Internet Service Provider/Web Host – The client understands that their website will be hosted on Ignite Marketing Agency servers for the duration of the contract. In the event client decides to cease-and-desist SEO services with Ignite Marketing, the client has the option of either transferring their site to another host or having Ignite Marketing Agency host their site for $50 to $100 per month with no expectation of any work done on client’s site.
  8. Completion Date – Ignite Marketing Agency and the client must work together to complete the Web Site expeditiously. There are components of client’s web presence that may not be started until after the website is published online.
  9. Payment of Fees – Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Los Angeles County CA. & any dispute will be litigated or arbitrated in Los Angeles County CA. Fees to Ignite Marketing Agency are due & payable on the 1st of each month unless otherwise arranged. Credit Card form will be provided.
  10. Assignment of Project – Ignite Marketing Agency reserves the right to assign other Web designers or subcontractors to this project to insure the right fit for the job as well as on-time completion.
  11. Legal – Ignite Marketing Agency does not warrant that the functions contained in these Web pages or the Internet Web site will meet the client’s requirements or that the operation of the Web pages will be uninterrupted or error-free. In no event will Ignite Marketing will be liable to the client or any third party for any damages, including any lost profits, lost savings, employee layoffs, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these Web pages or Web site, including any referrals made by Ignite Marketing Agency for 3rd party services such as PPC, TV or any other referrals even if Ignite Marketing Agency has been advised of the possibility of such damages.  Client also agrees to receive marketing emails on a regular basis but may opt-out of the emails.
  12. Guarantees – No guarantees of results can be made when it comes to marketing and search engine optimization (SEO) and all the ancillary services that go along with SEO. Ignite Marketing Agency will do everything they can to get the best possible results for Client but cannot offer a guarantee of any sort.  This contract supersedes all guarantees made by marketing and salespeople employed/contracted by Ignite Marketing and Client agrees to this upon signature of this agreement.
  13. Copyrights and Trademarks – The client represents to Ignite Marketing Agency an unconditional guarantee that all elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Ignite Marketing Agency for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Ignite Marketing Agency from any claim or suit arising from the use of such elements furnished by the client.
  14. Access to Website – Client will only be provided Editorial access to the website. Client will not be provided access to the server (host) or administration access to the website.
  15. Sole Agreement – The agreement contained in this “Web Site Design Agreement” constitutes the sole agreement between Ignite Marketing Agency and the client regarding this Web site. Any additional work not specified in this contract must be authorized by a written change order.
  16. Initial Payment – Payments to be made in full on the 1st of each month. In the event client signs contract after 1st of the month, the fee will be pro-rated for the remainder of the month client signed contract.
  17. Passwords – There will be a large number of passwords generated as a result of the development of your online presence. Ignite Marketing Agency will provide all login information at any time client requests these logins.  Please keep in mind, for security purposes, Ignite Marketing Agency has the right to change any and all login information at any time Ignite Marketing Agency deems necessary.  The login information that will not be provided will be that which is used for more than just client’s website or web login information such as where client’s website is hosted.
  18. Length of Contract – To be determined upon signing of contract. See #19 for Cancellation Policy.
  19. Cancelation – If client decides to cancel, 30-day notice is required after contract period is expired. In the event of cancelation, client will be provided link to the website which will include the design and content within 30 days.  If client cancels service in less than 12 months from contracting with Ignite Marketing Agency, client will only be entitled to a percentage of the pages of content written by Ignite Marketing Agency to be determined at that time by Ignite Marketing Agency.
  20. EVENT OF DEFAULT BY CUSTOMER (Disabling of accounts due to overdue payment). If the CUSTOMER fails to pay an invoice within 14 days of the date of that invoice, Ignite Marketing Agency reserves the right to disconnect (take website down) service without further warning. If services are disconnected for non-payment, customer must pay all past due charges up to the day of service disconnection in order to reconnect service. If your account has been disabled for non-payment, you may be charged a reconnection fee of up to $50 in order to re-enable your account.
  21. If website is hacked and Ignite Marketing Agency needs to implement software to clean up site, client will be required to provide their credit card to clean the site up. Ignite Marketing Agency uses Sucuri Website Anti-Virus to clean sites up and the cost is $199.99 flat rate for the entire year with yearly renewals.  Ignite Marketing will alert client before doing starting these procedures.
